1. Definitions and order of terms
“JSBS,” “we,” “us,” or “our” means JS Business & Services LLC, doing business as JSBS Co. “Customer,” “you,” or “your” means the individual or legal entity purchasing or using the Software. “Software” means JSBS Core, the JSBS Core Database Installer, compiled installers, object code, local database schema, documentation, and updates supplied under an Order. “Order” means the applicable Stripe Checkout page, invoice, proposal, order form, or written statement of work identifying the plan, quantity, price, billing interval, and any services. “Seat” means one licensed user or Windows device, as identified by the Order and license record. “Team Mode” means use of JSBS Core with a shared customer-controlled Firebird database.
If documents conflict, the following order controls: a signed statement of work or negotiated order form; the Order; these Terms; then general website material. A purchase-order term supplied by Customer does not modify these Terms unless JSBS expressly signs an amendment.
2. Business use and authority
JSBS Core is offered primarily for commercial, manufacturing, design, and operational use. Customer must be legally capable of entering a contract and must provide accurate billing, tax, contact, and licensing information. If Customer purchases for an employer or other organization, the person accepting these Terms represents that the person is authorized to bind that organization. Nothing in these Terms limits non-waivable rights that apply under law.
3. License grant
Subject to payment and continuing compliance with these Terms, JSBS grants Customer a limited, non-exclusive, non-transferable except as expressly allowed, non-sublicensable license to install and use the Software in object-code form for Customer’s internal business operations during the applicable license term and within the purchased Seats and entitlements.
- Each purchased Seat may be assigned to one user or one primary Windows device, consistent with the Order and activation system.
- Customer may make reasonable backup copies of installers and documentation, but may not distribute them publicly or to unlicensed third parties.
- Customer may transfer a Seat to a replacement employee or device for legitimate operational reasons using available deactivation tools or JSBS support. Repeated transfers intended to evade Seat limits are prohibited.
- Team Mode requires an active Team entitlement for each user or device accessing the shared database. The Database Installer itself does not create additional Software Seats.
4. Plans and entitlements
| Plan | License term | Core entitlement |
|---|---|---|
| Core / Solo Monthly | Month-to-month subscription; automatically renews until canceled. | One active workspace user in Solo Mode. Additional users and Team Mode are license-locked. |
| Core / Solo Annual | Annual subscription; automatically renews until canceled. | One active workspace user in Solo Mode. Additional users and Team Mode are license-locked. |
| JSBS Team Monthly | Month-to-month subscription; automatically renews until canceled. | Solo and Team Modes, including shared workspace-user administration. Each user or primary Windows device must have an applicable purchased Seat and activation. |
| JSBS Team Annual | Annual subscription; automatically renews until canceled. | Solo and Team Modes, including shared workspace-user administration. Each user or primary Windows device must have an applicable purchased Seat and activation. |
| Universal Perpetual v1 | Non-expiring v1 license after full payment, unless terminated for breach, refund, fraud, or chargeback. | Solo and Team Modes for the purchased Seat, plus eligible v1.x updates. Additional users or devices require additional applicable Seats. |
The checkout page or negotiated Order controls the exact price, quantity, and included services. Setup, migration, training, custom software, custom integrations, equipment, and priority support are not included unless listed separately.
5. Subscriptions, automatic renewal, and cancellation
Automatic renewal
Monthly and annual plans automatically renew for successive periods of the same length until canceled. Customer authorizes JSBS and its payment processor to charge the payment method on file at the then-current renewal price, plus applicable tax, on each renewal date. The price and frequency shown at checkout are material terms of the subscription.
Cancellation
Customer may cancel online through the Stripe-hosted customer portal made available in purchase or billing communications, or may email contact@jsbsco.com. Cancellation stops future renewals and normally takes effect at the end of the already-paid billing period. Customer retains licensed access through that date unless the account is suspended for breach, fraud, chargeback, or security risk. Customer should cancel before the renewal date to avoid the next charge.
Failed payment
If a recurring payment fails, JSBS or Stripe may retry the payment and notify Customer. JSBS may provide a seven-day grace period, but is not required to continue access where fraud, abuse, or security risk is suspected. Access may be suspended or expire if payment is not cured. Restoring access may require payment of outstanding amounts.
Plan changes
Upgrades, downgrades, Seat changes, and billing-interval changes may be prorated or take effect at the next renewal as disclosed when the change is requested. Canceling a subscription does not delete Customer’s local database, but the Software may no longer open or allow licensed functions after entitlement expiration.
6. Universal Perpetual v1 license
“Perpetual” means a non-expiring right to use the purchased JSBS Core major-version-1 Software in Solo and Team Modes for the purchased Seat quantity, subject to these Terms. It is not a promise that JSBS, Windows, Firebird, Stripe, LicenseSeat, hardware, or third-party services will operate forever.
- Included: versions 1.0 through the last v1.x release JSBS makes available, including v1 maintenance, compatibility, security, and feature updates released during the v1 lifecycle.
- Not included: JSBS Core v2 or later major versions, cloud hosting, managed databases, equipment, implementation, migration, training, custom development, or priority support unless separately purchased.
- A later v2 offer may include an optional loyalty or upgrade price, but no v2 discount is guaranteed.
- The license remains subject to activation limits, anti-fraud controls, and termination for material breach, refund, dispute, or chargeback.
7. Fees, taxes, promotions, refunds, and payment
Customer will pay the amounts displayed at checkout or stated in the Order. Prices are in U.S. dollars unless stated otherwise. Stripe may calculate and collect sales, use, value-added, or similar transaction taxes. Customer remains responsible for taxes that law requires Customer to pay, excluding taxes based on JSBS net income.
The 2026 early-adopter promotion provides fifteen percent off eligible JSBS Core software-license checkouts completed from August 17 through October 15, 2026, subject to the product restrictions and expiration enforced at checkout. Setup services, equipment, tax, custom work, and other excluded items are not discounted. For an eligible subscription, the promotional subscription price continues while that same subscription remains continuously active. Cancellation, lapse, refund, dispute, chargeback, or replacement with a new subscription ends eligibility; later reactivation or repurchase is subject to then-current pricing. Promotions have no cash value, may not be combined unless checkout expressly allows it, and may be withdrawn or corrected before purchase in the event of fraud, abuse, or an obvious pricing error.
Because JSBS provides immediate digital delivery and license provisioning, paid fees are generally non-refundable except where required by law, expressly stated in the Order, or approved by JSBS in writing. If the Software materially fails to conform to the applicable documentation, Customer must promptly contact JSBS and reasonably cooperate with troubleshooting. JSBS may, at its option, repair, replace, provide a workaround, credit, or refund the affected license. Approved refunds, payment reversals, disputes, or chargebacks may suspend or revoke the related license and download access.
8. Delivery, activation, and account security
After a verified checkout, the purchase portal provides compiled Windows installer downloads, and the licensing service sends or provisions activation information. Solo purchases receive the JSBS Core installer. Team and Universal Perpetual v1 purchases receive the JSBS Core and Team Database installers. The separately priced shared-database setup is a professional deployment service and is not required merely to download the Database Installer. A setup-only purchase does not include a JSBS Core software license.
Delivery is complete when the download page or activation information is made available to the contact supplied by Customer. Customer is responsible for safeguarding license keys, billing-portal links, administrator credentials, database passwords, backups, and access to email accounts. Customer must promptly report suspected compromise.
License validation requires internet access at activation and application startup under the current product design. Customer may need to deactivate an old device before activating a replacement. JSBS may require reasonable purchase verification before changing license records.
9. Restrictions
Except to the limited extent a restriction is prohibited by applicable law, Customer may not:
- copy, publish, sell, rent, lease, sublicense, distribute, host, or make the Software or license key available to an unlicensed third party;
- reverse engineer, decompile, disassemble, attempt to derive source code, or circumvent licensing, update, access, or security controls;
- use one Seat concurrently for multiple users or devices beyond the purchased quantity;
- remove copyright, trademark, attribution, or proprietary notices;
- use the Software to build or benchmark a competing product for publication without JSBS’s prior written consent;
- introduce malware, probe protected services, overload infrastructure, or use the Software or services unlawfully;
- resell access, operate the Software as a service bureau, or process third-party operations as a hosted service unless an Order expressly permits it.
10. Updates and version lifecycle
Active subscribers are eligible for generally released updates included with their plan while the subscription remains active. Universal Perpetual v1 customers are eligible for generally released v1.x updates. Updates may add, modify, or remove features to improve security, reliability, compatibility, usability, or compliance, provided JSBS does not materially eliminate the core licensed use without a reasonable substitute during the paid term.
Customer is responsible for installing updates and maintaining compatible Windows hardware, network access, drivers, and third-party components. JSBS may end support for obsolete releases after reasonable notice where practical. Emergency security changes may occur without advance notice.
11. Customer data, storage, and backups
As between the parties, Customer owns the business data, files, drawings, records, branding, and other content Customer enters or connects to JSBS Core. JSBS does not obtain ownership of Customer Data merely because it is processed by the Software.
- Solo databases run in Customer’s local environment. Team databases run on Customer-controlled or Customer-designated Windows equipment.
- Customer is solely responsible for access permissions, retention, backup schedules, off-site copies, restore testing, storage capacity, network availability, and disaster recovery.
- Shared document-library paths may point to local or network storage selected by Customer. JSBS is not responsible for unavailable drives, NAS permissions, ransomware, accidental deletion, or untested backups.
- Customer must have rights to all data and files it enters, stores, attaches, emails, prints, or exports.
- JSBS may access Customer Data only when Customer deliberately supplies it for support or when an Order authorizes implementation services, and will use it only for that purpose subject to applicable confidentiality obligations.
12. Privacy, licensing data, and third-party services
Use of the Software and checkout is also subject to the JSBS Privacy Policy. Stripe processes checkout, billing, tax, invoices, and customer-portal data under Stripe’s policies. LicenseSeat processes license issuance, entitlements, device activation, and validation. Cloudflare supports protected delivery and update infrastructure. Microsoft Windows may handle default email, printing, file, and operating-system functions.
The current desktop application disables general LicenseSeat telemetry but transmits information reasonably required for license activation and validation. JSBS does not collect the contents of Customer’s local or Team database through the licensing process. Third-party services are governed by their own terms and availability.
13. Support, setup, and professional services
Standard support means reasonable email assistance for activation, installation, update, and reproducible product issues during normal business operations. Unless an Order states otherwise, no response-time or resolution-time service level is guaranteed. Support does not include custom workflows, data repair caused by external events, operating-system administration, network repair, hardware service, training, or custom development.
Team setup fees cover professional deployment of the first shared Team environment only to the scope described in the Order; they are not software-license or installer-access fees. Team Mode unlocks shared workspace-user administration but does not create unlimited Software Seats. Customer must separately hold sufficient Team or Universal Perpetual v1 Seats and activations for every person or primary Windows device that uses JSBS Core. Customer-supplied equipment must meet stated requirements. Equipment procured by JSBS may be subject to supplier availability, manufacturer warranties, shipping, and separate replacement terms. Custom services require a written scope and may have separate acceptance, change-order, travel, expense, and intellectual-property provisions.
14. Security and acceptable use
Customer will use reasonable safeguards appropriate to its environment, including supported Windows versions, endpoint protection, access controls, unique credentials, network segmentation where appropriate, and tested backups. Customer will not use the Software for unlawful activity or to store or transmit content it lacks authority to process. JSBS may suspend access to online licensing, download, or update services when reasonably necessary to address fraud, abuse, attacks, legal obligations, or a material security threat.
15. Ownership, reservation of rights, and feedback
JSBS and its licensors retain all right, title, and interest in the Software, source code, object code, database design, documentation, branding, inventions, know-how, and derivative works, excluding Customer Data. The Software is licensed, not sold. No rights are granted except those expressly stated.
If Customer voluntarily provides suggestions or feedback, Customer grants JSBS a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or obligation, provided JSBS does not identify Customer publicly without permission.
16. Confidentiality
Each party may receive nonpublic information that a reasonable person would understand to be confidential. The receiving party will use it only to perform or exercise rights under the relationship, protect it using reasonable care, and disclose it only to personnel or contractors who need it and are bound by appropriate duties. Confidential information excludes information independently developed, lawfully known without restriction, publicly available without breach, or lawfully received from another source. A legally compelled disclosure is permitted after notice where legally allowed.
17. Limited warranty and disclaimers
JSBS warrants that, for thirty days after initial delivery of a paid license, the Software will substantially perform according to its then-current documentation when used in a supported environment. Customer’s exclusive remedy and JSBS’s entire obligation for breach of this limited warranty is, at JSBS’s option, repair, replacement, workaround, credit, or refund of the affected license. The warranty does not cover misuse, unauthorized modification, incompatible systems, third-party failures, network or hardware issues, malware, Customer Data, or use contrary to documentation.
Except for the express limited warranty and to the maximum extent permitted by law, the Software, downloads, updates, documentation, and services are provided “as is” and “as available.” JSBS disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranty arising from course of dealing or usage of trade. JSBS does not warrant uninterrupted or error-free operation, that every defect will be corrected, or that the Software alone satisfies every regulatory, accounting, quality, safety, engineering, manufacturing, or record-retention requirement.
JSBS provides software and design-support services but does not act as Customer’s licensed professional engineer, attorney, accountant, tax advisor, certification body, or regulatory authority. Customer remains responsible for professional review, approvals, calculations, drawings, safety decisions, manufacturing decisions, and legal compliance.
18. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, production, use, or data, even if advised of the possibility.
JSBS’s aggregate liability arising out of or related to the Software, services, an Order, or these Terms will not exceed the greater of (a) the amounts Customer paid to JSBS for the affected Software or service during the twelve months before the event giving rise to liability or (b) one hundred U.S. dollars. For a perpetual license claim, the cap will not exceed the amount paid for the affected perpetual Seats.
The limitations apply to all theories of liability and do not apply where prohibited by law or to liability that cannot legally be limited. Customer acknowledges that pricing reflects this allocation of risk.
19. Indemnification
Customer will defend, indemnify, and hold harmless JSBS and its personnel from third-party claims, damages, and reasonable costs arising from Customer Data, Customer’s unlawful or unauthorized use, violation of Sections 8, 9, 11, or 14, or Customer’s products, designs, manufacturing decisions, or business operations, except to the extent caused by JSBS’s gross negligence or willful misconduct. JSBS will promptly notify Customer and reasonably cooperate; Customer may not settle a claim in a way that admits fault by or imposes non-monetary obligations on JSBS without consent.
20. Suspension, termination, and effect
Customer may terminate by stopping use and, for subscriptions, canceling renewal. JSBS may suspend or terminate a license or online access for material breach, nonpayment, fraud, chargeback, license circumvention, unlawful use, security threat, or when required by law. Where the issue is curable, JSBS will generally provide reasonable notice and an opportunity to cure, unless immediate action is necessary.
At termination or expiration, Customer must stop using the affected Software and delete unlicensed copies. Customer retains its Customer Data and is responsible for exporting or retaining records before licensed access ends. Sections concerning payment, restrictions, data ownership, confidentiality, ownership, disclaimers, liability, indemnity, disputes, and general terms survive as their nature requires.
21. Export controls and sanctions
Customer will comply with applicable U.S. export-control, trade-sanctions, and import laws. Customer represents that it is not prohibited from receiving the Software and will not export, re-export, transfer, or use it for prohibited destinations, parties, or end uses. Customer is responsible for obtaining required authorizations.
22. Governing law and disputes
These Terms and each Order are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties will first attempt in good faith to resolve a dispute through written notice and direct discussion for at least thirty days.
Unless applicable law requires otherwise, state-court proceedings will be brought in a court of competent jurisdiction serving Crawford County, Pennsylvania, and federal proceedings will be brought in the United States District Court for the Western District of Pennsylvania. Each party consents to personal jurisdiction and venue there. Either party may seek temporary or injunctive relief to protect intellectual property, confidential information, data, or security without completing the informal-resolution period.
23. Changes to these Terms
JSBS may update these Terms prospectively to reflect product, legal, security, or business changes. The effective date and version will be posted. Material changes affecting an active subscription will be communicated through reasonable means and will normally apply at the next renewal unless earlier application is required by law or necessary for security. A negotiated signed agreement will not be changed by a website update. Continued use after the applicable effective date constitutes acceptance where permitted by law.
24. General provisions
- Electronic contracting. Electronic acceptance, records, notices, and signatures have the same effect as paper communications to the extent permitted by law.
- Notices. Notices to Customer may be sent to the purchase, billing, administrator, or license email. Legal notices to JSBS must be sent to the contact in Section 25 with “Legal Notice” in the subject.
- Assignment. Customer may not assign these Terms or a license without JSBS’s written consent, except with a sale of substantially all related business assets if the assignee agrees in writing and Customer has no unpaid balance. JSBS may assign to an affiliate or successor.
- Force majeure. Neither party is liable for delay caused by events beyond reasonable control, excluding Customer’s payment obligations.
- Severability and waiver. An unenforceable provision will be modified to the minimum extent necessary, and the remainder stays effective. A waiver must be in writing and is not a continuing waiver.
- Independent parties. The parties are independent contractors. These Terms create no partnership, agency, employment, fiduciary, or franchise relationship.
- No third-party beneficiaries. No person other than the parties and permitted successors has enforcement rights.
- Entire agreement. These Terms and the Order are the complete agreement regarding their subject and replace prior or contemporaneous representations on that subject.
